Terms of Service.

By creating an account or using Egen Active (the "Service"), you agree to these Terms of Service (the "Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

The Service is operated by Elitesgen Academy ("Elitesgen", "we", "our"), a company registered in Nigeria.

Egen Active is an app and web platform that connects people to partner facilities, activity sessions, groups, and community features. We work with facility operators, instructors, and organizations to make day-to-day access to pools, courts, pitches, gyms, and studios simpler. The Service runs on infrastructure operated by Elitesgen Academy.

You must be at least 18 years old to create an individual account. Organizations may create accounts through our organization onboarding flow; each organization is responsible for the accounts it creates on behalf of its members or employees.

You agree to provide accurate information, keep your login credentials secure, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

The Service offers individual memberships, pay-as-you-go visits, organization-funded access, and facility-specific passes. Pricing, included benefits, and eligible facilities are shown in the app at the time of purchase and may change.

Recurring subscriptions renew automatically on the billing cycle you select until you cancel. You can cancel a subscription at any time from your account; cancellation takes effect at the end of the current billing period.

Bookings confirm availability at a specific partner facility for a specific date, time, and service. Each partner facility may have its own rules covering dress code, equipment, guest policies, age restrictions, and conduct; those rules apply while you are on the premises.

We work to keep availability accurate but do not guarantee that every listed slot will be available. If a facility cancels or reschedules a session, we will notify you and, where applicable, issue a credit or refund as set out in Section 6.

You may cancel a booking free of charge up to the cutoff displayed in the app (typically two hours before the session). Cancellations made after the cutoff, and no-shows, may forfeit the associated visit or credit.

Refunds on subscriptions and passes are governed by the plan details shown at purchase. Where the Service or a partner facility is unavailable due to our error, we will issue a credit or refund for the affected session.

All prices are in Nigerian Naira (NGN) unless stated otherwise. Payments are processed by licensed Nigerian payment service providers; by paying, you agree to their terms. You are responsible for any taxes, duties, or bank charges imposed on your payment.

When you use community features (groups, events, messages, reviews), you agree not to:

• harass, threaten, or intimidate other members;
• post content that is illegal, defamatory, hateful, or sexually explicit;
• impersonate another person or misrepresent your affiliation;
• use the Service to promote unrelated commercial offers or scams; or
• interfere with the Service's operation, including attempts to probe, scan, or overload our systems.

We may remove content and suspend or terminate accounts that violate these rules.

Organization accounts allow an employer, club, school, or other body to fund and manage access for its members. The organization is responsible for selecting its members, ensuring they comply with these Terms, and paying invoices on time. We may share usage reports (including visits, bookings, and spend) with the organization's authorized administrators.

You keep ownership of content you upload (posts, photos, reviews, messages). By uploading, you grant Elitesgen a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content as needed to operate the Service. You are responsible for ensuring you have the rights to the content you upload.

The Service, its software, brand, and all associated materials belong to Elitesgen or its licensors. You may not copy, modify, reverse engineer, or create derivative works except as expressly permitted.

The Service integrates with third-party providers (payment processors, map tile providers, analytics, email delivery, identity services). Your use of those services is governed by their own terms and privacy policies; we are not responsible for their content or availability.

The Service is provided "as is" and "as available". We make no warranties beyond those required by law. Participation in physical activity carries inherent risks; Elitesgen and its partner facilities are not responsible for injuries arising from your activity, except to the extent caused by our negligence or as required under applicable law.

To the extent permitted by law, neither Elitesgen nor any of its officers, employees, or partners will be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of your use of the Service. Our total liability for any claim arising out of these Terms or the Service is limited to the amount you paid Elitesgen in the three months preceding the claim.

You agree to indemnify and hold Elitesgen harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of another person's rights.

We may suspend or terminate your access to the Service if you breach these Terms, pose a risk to other members or partners, or fail to pay amounts due. You may close your account at any time from your settings. Sections that by their nature should survive termination (payments owed, intellectual property, limitation of liability, dispute resolution) will do so.

The Service evolves. We may add, change, or remove features, and may limit access to specific features, plans, or regions. Where a change materially reduces what you paid for, we will offer a credit, refund, or alternative at our option.

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email before they take effect. Your continued use of the Service after the effective date of the updated Terms is your acceptance of them.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja. Nothing in this section prevents either party from seeking urgent interim relief from any competent court.
